3. Scope of the Services
Idonea is currently evolving. Some parts of the Services may be informational only, while others may be experimental, limited-release, invite-only, or under active development.We may update, modify, suspend, or discontinue any part of the Services at any time, with or without notice.
Any hiring, matching, or career-related information provided through the Services is for informational and support purposes only and should not be relied upon as the sole basis for employment or business decisions.
5. Accounts, Waitlists, and Communications
If you join a waitlist, sign up for updates, request information, or create an account in the future, you agree to provide information that is accurate, current, and not misleading.
You are responsible for maintaining the confidentiality of your account credentials, if applicable, and for all activity that occurs under your account.
By providing your contact details, you agree that we may contact you about:
- your request or inquiry;
- product updates;
- pilot or waitlist access;
- service-related notices; and
- other communications described in our Privacy Policy.
6. Acceptable Use
You agree not to:
- use the Services for unlawful, fraudulent, deceptive, abusive, or harmful purposes;
- upload, submit, or transmit false, defamatory, harassing, discriminatory, or infringing content;
- interfere with or disrupt the operation, security, or integrity of the Services;

- your User Content does not violate any law or the rights of any third party.
8. AI-Assisted Features
Some parts of the Services may include AI-assisted or automated features. These may generate responses, summaries, recommendations, classifications, or other outputs based on patterns, rules, models, and available inputs.
You acknowledge that:
- AI-generated or automated outputs may be incomplete, incorrect, biased, outdated, or inappropriate in some contexts;
- such outputs are not professional legal, financial, medical, or employment advice; and
- human judgment remains important when interpreting or acting on any output.
Idonea aims to design its Services responsibly, but no AI or automated system is error-free.
9. Privacy and Data Use

We do not control and are not responsible for third-party services, their content, or their privacy and security practices.Your use of third-party services is at your own risk and subject to their own terms and policies.
13. Disclaimers
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
TO THE FULLEST EXTENT PERMITTED BY LAW, IDONEA INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, OR RELIABILITY.
We do not warrant that the Services will be uninterrupted, secure, or error-free, or that defects will be corrected.
14. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IDONEA INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, REVENUE, BUSINESS, GOODWILL, OR OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF:
- THE AMOUNT YOU PAID US, IF ANY, FOR THE RELEVANT SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM; OR
- ONE HUNDRED U.S. DOLLARS (USD $100).
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
15. Indemnification
You agree to defend, indemnify, and hold harmless Idonea Inc. and its affiliates, officers, directors, employees, contractors, and licensors from and against any claims, liabilities, damages, judgments, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to:
- your use of the Services;
- your User Content;
- your violation of these Terms; or
- your violation of any law or third-party rights.
16. Suspension and Termination
We may suspend or terminate your access to all or part of the Services at any time, with or without notice, if we believe:
- you have violated these Terms;
- your use poses risk to us, other users, or third parties; or
- suspension or termination is necessary for legal, security, or operational reasons.
Sections that by their nature should survive termination will survive, including those relating to intellectual property, disclaimers, limitation of liability, indemnification, and governing law.
17. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the “Last Updated” date above. Your continued use of the Services after revised Terms become effective means you accept the updated Terms.
18. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles.
19. Dispute Resolution
Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the jurisdiction of those courts, unless applicable law requires otherwise.
20. General Terms
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
Our failure to enforce any provision of these Terms is not a waiver of that provision.
These Terms, together with any policies expressly incorporated by reference, constitute the entire agreement between you and Idonea Inc. regarding the Services.
